Please read before contracting. These Terms set out the standard conditions on which Elite Strategies LLC provides training services. They are a commercial template and are not legal advice. They should be reviewed by qualified legal counsel and, where applicable, incorporated into the written proposal or order form for each engagement.
1. The Agreement
These Terms and Conditions (“Terms”) form a standard services agreement between Elite Strategies LLC, 1209 Mountain Road PL NE, STE R, Albuquerque, NM 87110, USA (“Elite Strategies”, “we”, “us” or “our”), and the individual or organization identified in a written proposal, order form, invoice or booking confirmation (“Client”, “you” or “your”).
These Terms take effect when the Client accepts a written proposal, signs an order form, confirms a booking in writing, pays an invoice, or otherwise instructs Elite Strategies to begin the Services. The accepted proposal, order form or booking confirmation is incorporated into these Terms and together they form the “Agreement”. If there is a conflict, the written proposal or order form controls only to the extent it expressly varies these Terms.
2. Services and Scope
Elite Strategies provides education, training, facilitation and related consulting in communication management and optimization (“Services”). Services may include the following programs: The Deep Talk Method: Mastering High-Trust Communication; Beyond Small Talk: Strategies for Profound Connection; and Listening Beneath the Surface: The Art of Deep Communication.
The specific scope, audience, delivery format, dates, duration, participant number, deliverables and any agreed customization will be stated in the applicable proposal or booking confirmation. Elite Strategies will perform the Services with reasonable skill and care. Training is educational in nature and is not psychotherapy, medical care, mental-health treatment, legal advice, or a guarantee of any personal, professional or commercial outcome.
3. Fees, Taxes and Payment
Unless varied in a written proposal, the published standard program fees are: $3000 USD for The Deep Talk Method, $4000 USD for Beyond Small Talk, and $5000 USD for Listening Beneath the Surface. All fees are stated in United States Dollars and are exclusive of applicable taxes, duties, travel, venue costs or third-party expenses unless expressly included in writing.
Fees, payment milestones, invoice due dates and approved expenses will be confirmed in the applicable proposal or invoice. A booking is not confirmed until Elite Strategies issues a written confirmation and receives any payment stated as necessary to reserve the date. The Client is responsible for paying undisputed invoices by the stated due date. Elite Strategies may suspend or reschedule Services reasonably where a material overdue amount remains unpaid.
4. Rescheduling, Cancellation and Changes
Requests to reschedule, cancel or materially change Services must be submitted in writing. Elite Strategies will use reasonable efforts to accommodate a change, subject to facilitator availability and any non-recoverable commitments. If a confirmed program is cancelled or postponed less than fourteen (14) calendar days before its scheduled start, Elite Strategies may charge for reasonable preparation time, committed travel or venue costs, and other non-recoverable expenses, unless the parties agree otherwise in writing.
Either party may postpone Services due to circumstances beyond its reasonable control, including serious illness, travel disruption, government action, infrastructure failure or a force majeure event. The parties will work in good faith to agree a reasonable replacement date. Nothing in this section limits payment for Services already delivered or costs already committed with the Client’s approval.
5. Client Responsibilities
The Client will provide timely, accurate information needed to deliver the Services; ensure that attendees are authorized to participate; provide a suitable and safe venue or access to agreed online facilities; and appoint a representative authorized to make operational decisions. The Client remains responsible for its participants’ conduct and for decisions made using training content.
Elite Strategies aims to create a respectful learning environment. We may reasonably pause or end a session if conduct is abusive, discriminatory, unsafe, unlawful or materially disruptive. Where practical, we will notify the Client and seek a constructive solution first.
6. Intellectual Property and Materials
All training frameworks, materials, exercises, templates, methods, presentations and other content supplied by Elite Strategies remain the intellectual property of Elite Strategies or its licensors. Subject to full payment of applicable fees, the Client receives a limited, non-exclusive, non-transferable license for enrolled participants to use supplied materials internally for their own learning and business purposes.
Without prior written permission, the Client may not reproduce, distribute, publish, sell, sublicense, adapt, record, reverse engineer or use the materials to deliver competing training. The Client retains ownership of its pre-existing materials and information. Feedback may be used by Elite Strategies without restriction provided it does not identify the Client or disclose Confidential Information.
7. Confidentiality
Each party may receive non-public business, personal or technical information from the other (“Confidential Information”). Each party will protect the other’s Confidential Information using reasonable care and will use it only as necessary to perform or receive the Services. This obligation does not apply to information that is publicly available through no breach, already known without duty of confidence, independently developed, or lawfully received from a third party without restriction.
A party may disclose Confidential Information when required by law, regulation or court order, provided it gives prompt notice where legally permitted and cooperates with reasonable protective measures. Participants are encouraged to respect the confidentiality of learning discussions; however, Elite Strategies cannot guarantee the conduct of individual participants not under its control.
8. Warranties, Disclaimers and Limitation of Liability
Except as expressly stated in this Agreement, the Services and materials are provided “as is” and “as available”. To the maximum extent permitted by law, Elite Strategies disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. Elite Strategies does not warrant that any training will produce a particular result, promotion, revenue outcome, relationship outcome or organizational change.
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, goodwill, data or business opportunity arising from this Agreement. Elite Strategies’ total aggregate liability arising out of or related to the Services will not exceed the fees actually paid to Elite Strategies for the specific Services giving rise to the claim during the six (6) months preceding the event. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
9. Privacy and Enquiries
When you submit an enquiry through this website, your name, contact details, organization, program interest and message are collected through Formspree and sent to Elite Strategies so that we can respond to your request, assess availability and prepare a relevant proposal. We do not sell enquiry data. We retain information only as reasonably necessary for communication, contracting, legal obligations and legitimate business records.
You may request access to, correction of, or deletion of personal information held in connection with an enquiry by contacting Elite Strategies at the postal address below and identifying your request. Please do not include sensitive personal, health or confidential third-party information in a website enquiry. The Formspree service processes submissions under its own terms and privacy practices.
10. General Terms
Independent contractor. Elite Strategies performs the Services as an independent contractor. Nothing in this Agreement creates employment, partnership, agency, fiduciary duty or joint venture between the parties.
Notices. Operational notices may be sent by email to the contacts named in the proposal. Legal notices to Elite Strategies should be sent to: Elite Strategies LLC, 1209 Mountain Road PL NE, STE R, Albuquerque, NM 87110, USA.
Assignment. Neither party may assign this Agreement without the other party’s prior written consent, except that Elite Strategies may assign it to an affiliate or successor in connection with a merger, reorganization or sale of substantially all relevant assets.
Governing law and venue. This Agreement is governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New Mexico for disputes arising from this Agreement, subject to any mandatory law that applies to the Client.
Entire agreement and severability. This Agreement and the applicable written proposal or order form are the entire agreement concerning the Services and replace prior discussions on that subject. Any amendment must be in writing and accepted by both parties. If a provision is unenforceable, the remaining provisions remain in effect. A waiver is effective only if written and does not waive a later breach.
